These Terms and Conditions ("Terms") constitute a binding agreement between you and Hypereum Ltd ("Hypereum", "we", "us", "our"). By accessing or using our website at www.hypereum.tech (the "Site"), you agree to be bound by these Terms. If you do not agree, do not access or use the Site.

2. Agreement

2.1 By accessing the Site, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy, and our Cookie Policy.

2.2 These Terms apply to all visitors and users of the Site, regardless of location.

2.3 These Terms are the master agreement governing your use of the Site. Where supplemental terms apply to specific services offered by Hypereum in the future, such supplemental terms will be binding in addition to these Terms.

3.1 We may update these Terms from time to time. The "Last updated" date at the top indicates the current version.

3.2 For material changes that adversely affect users' rights, we will publish the revised Terms on the Site with an updated date at least thirty (30) days before the changes take effect.

3.3 Continued use of the Site after the effective date of changes constitutes your acceptance of those changes.

4. Who may use the Site

4.1 You represent and warrant that you have full legal capacity to enter into these Terms and that you are at least the minimum age required under applicable law to form a binding contract.

4.2 Where local law requires parental consent for minors, you confirm that such consent has been obtained.

5. Ownership and licence

5.1 Hypereum and its licensors own all rights, title, and interest in and to the Site, including all content, text, graphics, logos, trademarks, design elements, code, and software (collectively, "Materials").

5.2 Subject to these Terms, Hypereum grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Site for your internal, non-commercial, informational purposes only.

5.3 You shall not, without Hypereum's prior written consent:

(a) Copy, reproduce, distribute, modify, or create derivative works of the Materials;

(b) Use Hypereum's name, logo, or trademarks for any purpose;

(c) Reverse engineer, decompile, or attempt to extract source code from the Site;

(d) Use the Site for any commercial purpose not expressly authorised by Hypereum;

(e) Frame or mirror any part of the Site on any other website or platform.

6. Restrictions

6.1 You agree not to:

(a) Use the Site for any unlawful purpose or in violation of any applicable law;

(b) Attempt to probe, scan, penetrate, or test the vulnerability of the Site or circumvent any security measures;

(c) Transmit malware, spam, or other harmful or disruptive material;

(d) Perform automated scraping, harvesting, data mining, or any automated collection of content from the Site;

(e) Interfere with or disrupt the operation of the Site or servers connected to it;

(f) Impersonate any person or entity or misrepresent your affiliation with any person or entity.

6.2 Hypereum may investigate conduct that it reasonably suspects violates these Terms and may block access, remove content, report to law enforcement, and pursue any available remedies.

7. "As is" basis

7.1 THE SITE AND ALL MATERIALS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TITLE, OR NON-INFRINGEMENT.

7.2 NOTHING ON THE SITE CONSTITUTES LEGAL, FINANCIAL, TAX, INVESTMENT, OR OTHER PROFESSIONAL ADVICE. YOU SHOULD SEEK APPROPRIATE PROFESSIONAL ADVICE BEFORE MAKING DECISIONS BASED ON ANY CONTENT ON THE SITE.

7.3 Hypereum does not warrant that the Site will be uninterrupted, error-free, or free of harmful components.

8. Cap and exclusions

8.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HYPEREUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO YOUR USE OF THE SITE, EVEN IF HYPEREUM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.2 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HYPEREUM'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED £100 (ONE HUNDRED POUNDS STERLING).

8.3 NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY FOR: (a) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (b) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (c) ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY APPLICABLE LAW.

9. Your liability to us

9.1 You agree to defend, indemnify, and hold harmless Hypereum and its officers, directors, agents, and employees from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your breach of these Terms or your unlawful conduct in connection with the Site.

10. Privacy and cookies

10.1 Our processing of personal data is governed by our Privacy Policy. Our use of cookies is governed by our Cookie Policy. By using the Site, you acknowledge that you have read and understood these policies.

10.2 Where consent is required for the processing of personal data or the use of cookies, we will obtain such consent in accordance with applicable law.

12. Applicable law and jurisdiction

12.1 These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

12.2 Subject to clause 12.3, the courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising from or relating to these Terms.

12.3 Consumer rights. If you are a consumer and applicable mandatory consumer protection law in your jurisdiction provides that disputes must be resolved in your local courts, nothing in these Terms shall preclude you from exercising that right. This clause does not affect any mandatory statutory rights that cannot be waived.

12.4 EU/EEA consumers. If you are a consumer in the EU/EEA, you may have the right to submit disputes to a certified alternative dispute resolution (ADR) body in your Member State. 13. Survival and severability

13.1 If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

13.2 The provisions relating to Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law shall survive the termination of these Terms.

14. Events beyond our control

14.1 Hypereum shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, government restriction, natural disaster, pandemic, war, civil unrest, infrastructure failure, or other events of force majeure.

15. Complete terms

15.1 These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Hypereum relating to your use of the Site.

15.2 No waiver of any provision of these Terms shall be effective unless in writing and signed by Hypereum.
